TRAPS FOR THE UNWARY:  What is the proper structure for a business acquisition?   If it is a professional practice are you buying its assets (equipment, goodwill, building, client or patient lists, receivables) or the stock of the owners?  The contracts to be drafted, negotiation of the purchase and the tax consequences are dramatically different to the buyer and seller depending on how this is structured.  Both parties also most likely need a confidentiality agreement and non-compete agreement.  There are many decisions to make and they can affect the bottom line.  Also, all IRS rules and regulations must be complied with.
